Shutterstock merger with Getty Images (£3bn deal) conditionally cleared by UK CMA. Shutterstock must divest its editorial business as condition of merger completion.

The leadership read
The CMA's conditional clearance commits Getty-Shutterstock to a mandatory divestiture before the combined entity can operate as designed. That is a structurally different outcome than approval: the merged company now carries an active sell-side obligation on a business unit that is operationally embedded, customer-facing, and competitively sensitive. Editorial content, breaking news, sports, red carpet, live events, runs on relationships with wire services, sports bodies, and broadcasters that are not cleanly separable from the wider content stack. Executing a clean carve-out while simultaneously integrating two large commercial organizations is a sequencing problem with real execution risk, and the CMA retains oversight of the buyer qualification process, adding regulatory drag to an already complex close. This is one of twelve M&A signals we have tracked across sectors in the last 90 days. The related set is broad, spanning retail, fintech, and industrials, but the Getty-Shutterstock structure is the clearest example in the batch of a regulator-imposed divestiture as a condition of close, a pattern that has also shaped PIF's EA acquisition pathway through EU regulatory scrutiny. Conditional clearances of this kind are becoming the CMA's working template for concentrated digital-content markets. Companies navigating regulator-mandated divestitures at this scale face concentrated demand for regulatory affairs leadership with CMA process experience, M&A integration operators who can run parallel carve-out and integration workstreams, and commercial leaders who can stabilize editorial customer relationships, media outlets, publishers, broadcasters, through a period of deliberate ownership uncertainty.
